Corporate Governance Officer

The Board of Directors appointed Ms. Yi-Chen Lin, the Senior Vice President & CFO of CMSC, as the Corporate Governance Officer responsible for corporate governance, including handling matters relating to Board and Shareholders’ meetings, providing information required for directors to execute business and assisting continuing education of directors.
The duties performed by the Corporate Governance Office in 2023 are as follows:

1. To assist Chairman of Board of Directors and Committees’ Chairs to convene Board meetings seven times, Audit Committee meeting one time, Remuneration Committee meetings two times, 2023 regular Shareholders’ meeting and extraordinary Shareholders’ meeting one time.
2. To provide continuing education information to directors.
3. To provide information required for directors to execute business.
4. To present quarterly legal compliance report to Board of Directors.
5. To respond timely to all Directors’ requests.
6. To evaluate regularly the liability insurance for directors and managers, and to report to Board of Directors.
